PASTAEBASTA - TERMS OF USE

Welcome to PASTAEBASTA.

These Terms of Use ("Terms") explain how the platform works, what you can do here, and what rules apply when you use it.

The platform is operated by Portalio S.R.L., Via XX Settembre 5, 24041 Brembate (BG), Italy, VAT IT04842640163 ("Company", "we").

By using the platform (registering, uploading photos, or voting), you agree to these Terms.

By registering, uploading content, or using the Platform, you expressly confirm that you have read, understood, and accepted these Terms and that such acceptance has the same legal effect as a written signature.

1. WHO USES THE PLATFORM

We keep things simple. There are three types of users:

Visitors - you can browse and vote (limited votes)
Registered users - you can vote more and interact with the platform
Photographers (creators) - you can upload photos and participate in voting

If you upload content, you are considered a photographer / creator.

2. WHAT THE PLATFORM DOES (MVP STAGE)

Right now, PastaeBasta is in an early stage.

You can upload photos
People can vote for them
Winning photos will be used in future collections

At this stage:

There is no full online store yet
Some manual or test sales may happen

In the future, we will introduce:

T-shirt and merch sales
Photo licensing
Prints (framed photos)
Stickers and other products

3. HOW AGREEMENT WORKS (IMPORTANT)

We do not require signing documents manually.

By using the platform, you automatically accept these Terms.

This model is legally valid under Italian law ("offerta al pubblico"), including Articles 1336 and following of the Italian Civil Code.

In addition, photographers (content contributors) are subject to the Photographer Licensing Agreement, which forms an integral part of these Terms.

By uploading content, you confirm that you have read and accepted that agreement.
No separate signature is required; acceptance is performed through your actions on the Platform.

These Terms are also aligned with applicable EU regulations, including:

4. YOUR PHOTOS - OWNERSHIP & LICENSE

You keep ownership: You always remain the owner of your photos.

What you give us: By uploading a photo, you grant us a:

non-exclusive
worldwide
sublicensable
3-year (renewable)

license to:

display your photo on the platform
include it in voting and collections
crop, resize, adapt (UI, design, previews)
use it in products (if selected)
promote it across all our channels, including:
website

social media (Instagram, TikTok, etc.)

marketing materials

Reference to Photographer Licensing Agreement: Detailed terms regarding revenue share, payments, royalties, and licensing conditions are defined in the Photographer Licensing Agreement, which is incorporated into these Terms by reference.

Important:

We will credit you (name or nickname)
We may crop, resize, adapt, and format your photo for design, UI, and promotional use.
If your photo wins, you must provide a high-resolution version upon request.

5. USE OF CONTENT BY OTHERS (IMPORTANT)

All photos on the platform are protected by copyright.

Users are NOT allowed to download, copy, reuse, or publish photos belonging to other users.
Using photos from the platform without permission is a violation of these Terms and applicable copyright laws.

If you want to use a photo, you must obtain permission directly from the author.

6. HOW VOTING WORKS

Voting happens in rounds
Visitors → up to 5 votes
Registered users → up to 50 votes
Votes and rankings are visible.

Important:

Minimum voting thresholds may apply.
We may block or adjust results if we detect cheating or manipulation.
Not all photos will be selected.
Final decision belongs to the platform.

You can submit photos or cities, but everything must be approved by the admin team.

7. WHAT YOU CAN AND CANNOT UPLOAD

Allowed:

Photos taken by you
Real city and street photography
Photos from public places

NOT allowed: You must NOT upload:

Photos you didn’t take

AI-generated images
Stock images
Photos with people without their permission
Photos of minors (unless legally allowed)
Nude or sexual content
Offensive or harmful content
Political propaganda
Logos, brands, or trademarks (unless allowed)

8. RESPONSIBILITY FOR CONTENT

You are fully responsible for what you upload.

We do not check every photo in advance.

If content is reported:

We may remove it
We may block your account

We act as a hosting provider under EU law.

9. ACCOUNT CONTROL

We can:

Block or suspend your account
Request explanation
Delete your account after 60 days if unresolved

10. DOWNLOAD RULES

You can download your own photos
You cannot download others' content

11. EXTERNAL LINKS

Users and partners may include links to external websites.

We:

Do NOT verify them
Are NOT responsible for them

12. FUTURE SALES, ROYALTIES & PHOTOGRAPHER COMPENSATION

At the current MVP stage, automated sales are not yet active.

However, once the Platform enables full commercial functionality, the following principles will apply:

Photographers whose photos are selected and used in products will be entitled to a share of revenue;
As a general rule, photographers will receive 10% of net sales of products featuring their photo, as defined in the Photographer Licensing Terms;
An additional portion (e.g., 10%) may be allocated to promotional or gifting initiatives related to the city;
Sales may include both online and offline (physical) transactions, which will be accounted for by the Company;
Photographers will have access to sales data through their personal account ("cabinet"), including units sold and calculated royalties;
Payments will be made periodically (e.g., quarterly), subject to applicable conditions and valid payment details;
The Company reserves the right to define final pricing, production, distribution, and commercial strategy.

Detailed terms, including payment procedures, tax responsibilities, and reporting, are governed by the Photographer Licensing Agreement and may be updated when the marketplace is fully launched.

13. LEGAL PROTECTION

Limitation of liability

The platform is provided "as is".

We do not guarantee:

uninterrupted operation
error-free functionality

To the maximum extent permitted by law, we are not liable for indirect or consequential damages.

User responsibility (Indemnification)

You agree to indemnify and hold harmless the Company from any claims, damages, or legal costs resulting from:

your content
your violation of these Terms
infringement of third-party rights

Force majeure

We are not responsible for events outside our control, including:

internet outages
natural disasters
government actions
No employment / partnership

Nothing in these Terms creates:

an employment relationship
a partnership
a joint venture

between the Company and any user or photographer.

14. AGE

Minimum age: 16

15. LAW

Italian law applies.

Court: Milan
